Governing Law

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of France, without giving effect to any principles of conflicts of law.

Any dispute or claim arising out of or in connection with these Terms of Service or their subject matter or formation (including non-contractual disputes or claims) shall be referred to and finally resolved by arbitration in accordance with the QuantumGaming Rules, which Rules are deemed to be incorporated by reference into this clause. The seat, or legal place, of arbitration shall be in France. The language to be used in the arbitral proceedings shall be French.

You agree that any claim or dispute you may have against Company must be resolved by a court located in France, except as otherwise agreed by the parties or as described in the Arbitration section above. You agree to submit to the personal jurisdiction of the courts located within France for the purpose of litigating all such claims or disputes.

The failure of Company to enforce any right or provision in these Terms of Service shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. In the event that a provision of these Terms of Service is held to be invalid or unenforceable, the remaining provisions of these Terms of Service shall remain in full force and effect.

These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Company without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

As a condition of use of the Website, you agree to indemnify and hold the Company, its affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Website or arising from a breach of these Terms of Service and/or any breach of your representations and warranties set forth above.

These Terms of Service constitute the entire agreement between you and Company with respect to the use of the Website, superseding any prior agreements between you and Company with respect to the Website.
